Terms of Service

Welcome to outpack.app! These Terms of Service ("Terms") govern your access to and use of the outpack.app website, including any content, functionality, and services offered on or through outpack.app (the "Service"). The Service is owned and operated by Andrew Carmichael, trading as outpack.app ("we," "us," or "our"), a sole trader based in Scotland.

Please read these Terms carefully before you start to use the Service.

1. Agreement to Terms

By accessing, browsing, registering for, or using the Service in any manner, you (the "User") acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms or the Privacy Policy, you must not access or use the Service.

By continuing to use this Service, you acknowledge your acceptance of these Terms. While we may implement explicit acceptance mechanisms in the future, your continued access and use of the Service constitutes your agreement to these Terms and our Privacy Policy.

2. User Accounts and Responsibilities

Eligibility: To create an account and use this Service, you must be at least 18 years of age. The Service is not intended for users under 18 years of age.

Registration: You agree to provide true, accurate, current, and complete information about yourself as prompted by the Service's registration form. You also agree to maintain and promptly update this information to keep it true, accurate, current, and complete.

Account Security: You are solely responsible for maintaining the confidentiality of your account login credentials (including any password, one-time code, or single sign-on method) and for all activities that occur under your account. You agree to immediately notify the Company of any unauthorized use of your login credentials or account or any other breach of security.

3. Intellectual Property Rights

Ownership of the Service: The Service and its entire contents, features, and functionality (including but not limited to all information, software, source code, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Limited License to You: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use only, strictly in accordance with these Terms. This license does not grant you any ownership rights in the Service itself.

4. User-Generated Content (UGC)

Our Service allows you to create, post, submit, and share content, including trip reviews, trail guides, gear lists, location data, photographs, videos, and comments ("User-Generated Content" or "UGC").

You Retain Ownership of Your Content: You retain copyright and any other intellectual property rights you hold in the UGC you create.

License Grant to Outpack.app: By submitting, posting, or displaying UGC on or through the Service, you grant the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, copy, reproduce, process, adapt, modify, publish, transmit, create derivative works from, display, and distribute such UGC in any and all media or distribution methods (now known or later developed).

This license authorizes us to make your UGC available to the rest of the world and to let others do the same. The right to "modify," "adapt," and "create derivative works" is necessary for technical operations such as creating thumbnails, reformatting content for different devices, or featuring your content in compilations (e.g., "Best Hikes of the Season"). The right to "sublicense" is essential for us to use third-party services like cloud hosting providers (e.g., Amazon Web Services) to store and serve your content.

This license also includes the right for us to use your UGC for commercial and marketing purposes to promote the platform, without compensation to you.

Your Representations and Warranties: You represent and warrant that: (i) you are the sole creator and owner of the UGC or have all necessary licenses, rights, consents, and permissions to grant the license set forth above; (ii) your UGC does not and will not infringe, violate, or misappropriate any third-party right, including any copyright, trademark, privacy right, or right of publicity; and (iii) your UGC is accurate and not confidential.

Content Moderation: We reserve the right, but do not have the obligation, to monitor, screen, edit, or remove any UGC at our sole discretion and at any time without notice for any reason, including for violations of these Terms.

5. Acceptable Use and Prohibited Activities

You agree not to use the Service to:

  • Post any content that is unlawful under UK law, defamatory, obscene, pornographic, harassing, hateful, threatening, or promotes violence or discrimination. This specifically includes content related to terrorism, child sexual abuse material (CSAM), or any other content prohibited under UK legislation.
  • Upload or transmit any content that infringes on any intellectual property right of any party.
  • Engage in any activity that could disable, overburden, damage, or impair the Service, such as hacking, scraping, data mining, or introducing viruses or malware.
  • Impersonate any person or entity or provide false information.
  • Engage in spamming, phishing, or other fraudulent activities.

Specifically for Outpack.app: Post information known to be dangerously inaccurate, provide advice that encourages unsafe or reckless behavior, or share information about locations that are closed to the public or would encourage trespassing on private property.

6. DISCLAIMERS, ASSUMPTION OF RISK, AND LIMITATION OF LIABILITY

THIS SECTION IS CRITICAL. PLEASE READ IT CAREFULLY.

Service Provided "As Is": The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or free from errors or viruses.

Disclaimer of Information Accuracy: We do not warrant the accuracy, completeness, or usefulness of any information on the Service. Any reliance you place on such information, particularly User-Generated Content such as trail guides, location data, or gear reviews, is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Service.

ASSUMPTION OF RISK FOR OUTDOOR ACTIVITIES:You acknowledge that outdoor activities such as hiking, backpacking, camping, and related pursuits are inherently dangerous and involve significant risks of property damage, serious personal injury, or death. These risks include, but are not limited to, hazards arising from:

  • Changing and unpredictable weather conditions;
  • Falls, slips, and trips on difficult, uneven, or dangerous terrain;
  • Encounters with wildlife;
  • Failure or malfunction of equipment;
  • Becoming lost or separated from your party; and
  • The potential for inaccurate, incomplete, or outdated information provided by other users on the Service.

You voluntarily, knowingly, and expressly assume all such risks. You are solely responsible for your own judgment, preparation, physical fitness, and skills. You must independently verify all information with official sources (e.g., park authorities, land managers, weather services) before undertaking any activity based on information from the Service. Outpack.app is a distributor of information, not its creator, and is not responsible for your use of the information contained on the Service.

Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF ONE HUNDRED POUNDS STERLING (£100.00) OR THE AMOUNT YOU HAVE PAID TO THE COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM.

7. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User-Generated Content.

8. Third-Party Links & Affiliate Disclosure

The Service may contain links to third-party websites or services that are not owned or controlled by the Company. We are not responsible for the content, privacy policies, or practices of any third-party sites. The Service may also contain affiliate links. If you click on an affiliate link and make a purchase, we may receive a commission at no extra cost to you.

9. Copyright Complaints and Takedown Policy

We respect the intellectual property rights of others. If you believe that any content on the Service infringes your copyright, please submit a notice to our designated Copyright Agent containing the following information:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright that has been allegedly infringed.
  • Identification of the works or materials being infringed.
  • Identification of the material that is claimed to be infringing, including information regarding the location of the infringing materials that the copyright owner seeks to have removed, with sufficient detail so that we are capable of finding and verifying its existence.
  • Your contact information, including address, telephone number, and email address.
  • A statement that you have a good faith belief that the material is not authorized by the copyright owner, its agent, or the law.
  • A statement made under penalty of perjury that the information provided is accurate and you are the owner or are authorized to act on behalf of the owner of the copyright.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, at our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms. You may terminate your account at any time through your account settings.

11. Governing Law and Dispute Resolution

Governing Law: These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Scotland.

Dispute Resolution: You irrevocably agree that the courts of Scotland shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms.
